These Terms & Conditions ("Terms") govern your access to and use of the Sellorna platform ("Platform"), operated by Sellorna ("we", "us", "our"). By accessing or using our website at sellorna.com, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. About the Platform

Sellorna is a B2B trade marketplace that connects verified suppliers with business buyers — including boutiques, online retailers, and independent resellers. Sellorna acts as an intermediary platform and is not a party to transactions between buyers and suppliers.

2. Eligibility

By using the Platform, you confirm that:

  • You are at least 18 years of age
  • You are using the Platform for business purposes, not personal or consumer use
  • You have the legal authority to enter into binding agreements on behalf of your business

3. Buyer Obligations

As a buyer on Sellorna, you agree to:

  • Purchase products for resale or business use only
  • Provide accurate shipping and billing information
  • Pay for orders in full at the time of purchase
  • Comply with all applicable import regulations and customs requirements in your country
  • Not misuse the return or dispute process

4. Supplier Obligations

As a supplier on Sellorna, you agree to:

  • Accurately represent your products, including descriptions, images, materials, dimensions, and quality standards
  • Fulfill orders within the stated processing time
  • Ship products securely and provide valid tracking information
  • Comply with all applicable export regulations and customs requirements
  • Not list counterfeit, prohibited, or misrepresented products
  • Maintain sufficient stock for listed products or update availability promptly
  • Issue invoices (e-invoice or e-archive invoice) to buyers in accordance with applicable tax regulations; Sellorna does not issue product invoices on behalf of suppliers
  • Fulfill all tax obligations arising from product sales, including VAT declarations and income/corporate tax filings

5. Payments & Commission

  • All buyer payments are processed securely through iyzico
  • Sellorna acts solely as an intermediary collection agent: buyer payments are collected on behalf of the supplier and do not constitute revenue of Sellorna. Sellorna's sole revenue is the commission charged on each completed transaction
  • Sellorna charges a commission on each completed transaction, as agreed during supplier onboarding
  • Supplier payouts are processed on a regular schedule, after deducting applicable platform commissions and payment processing fees
  • All tax obligations arising from product sales — including VAT, income tax, corporate tax, and e-invoicing requirements — are the sole responsibility of the supplier. Sellorna does not file any tax declarations on behalf of suppliers
  • Sellorna issues a commission invoice to the supplier for each payout period. Suppliers are responsible for issuing their own product invoices to buyers
  • Sellorna reserves the right to withhold payouts in the event of an open dispute or policy violation

6. Intellectual Property

All content on the Sellorna platform — including logos, design, text, and software — is the property of Sellorna and may not be copied, reproduced, or used without prior written permission. Suppliers retain ownership of their product content but grant Sellorna a non-exclusive license to display it on the Platform.

7. Limitation of Liability

Sellorna is a marketplace platform and is not responsible for:

  • The quality, safety, or legality of products listed by suppliers
  • Delays caused by suppliers, couriers, or customs authorities
  • Losses arising from buyer or supplier misrepresentation
  • Any tax penalties, fines, or legal consequences arising from a supplier's failure to fulfill their tax and invoicing obligations

To the maximum extent permitted by law, Sellorna's total liability shall not exceed the value of the commission earned on the transaction in dispute.

8. Account Suspension & Termination

Sellorna reserves the right to suspend or permanently close any account that:

  • Violates these Terms
  • Engages in fraudulent, deceptive, or abusive behavior
  • Receives repeated unresolved complaints from buyers or suppliers
  • Lists prohibited or counterfeit products

9. Modifications to Terms

We reserve the right to update or modify these Terms at any time. Continued use of the Platform after changes are published constitutes acceptance of the updated Terms. We will notify registered users of significant changes via email.

10. Governing Law

These Terms are governed by the laws of the Republic of Turkey. Any disputes arising from the use of the Platform shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.
